Venue Agreement

1. Venue Registration and Eligibility

1.1 Eligibility Requirements

To register as a Venue on PlugVerse, you must:

• Be at least 18 years of age and authorized to represent the venue
• Have legal authority to book entertainment for the establishment
• Operate a legitimate business, organization, or event space
• Comply with all applicable local, state, and federal laws
• Maintain all required business licenses and permits for live entertainment

1.2 Venue Types

PlugVerse welcomes various types of venues including:

• Bars, restaurants, and nightclubs
• Concert halls and music venues
• Event spaces and banquet halls
• Fraternities and sororities
• Corporate event organizers
• Private party hosts
• Festivals and outdoor events

1.3 Profile Requirements

Your venue profile must include:

• Accurate venue name and contact information
• Valid physical address where performances will occur
• Accurate description of venue capacity and type
• Available equipment and technical specifications
• Any restrictions or special requirements for performers

2. Posting and Managing Gigs

2.1 Gig Posting Requirements

When posting gigs, you agree to provide:

• Accurate date, time, and duration of the performance
• Clear payment terms and compensation details
• Honest description of the event type and expected audience
• Any specific requirements (genre, dress code, equipment needs)
• Information about load-in, sound check, and parking

2.2 Artist Selection

You agree to:

• Review artist applications fairly and promptly
• Respond to applications within a reasonable timeframe
• Not discriminate against artists based on protected characteristics
• Select artists based on legitimate business criteria
• Communicate clearly about booking decisions

2.3 Confirmed Bookings

Once you confirm a booking, you agree to:

• Honor the agreed-upon terms, including compensation
• Provide a safe and suitable performance environment
• Have all agreed-upon equipment ready and functional
• Allow adequate time for sound check and setup
• Pay artists according to the agreed schedule

3. Payment Obligations

3.1 Payment Processing

PlugVerse uses Stripe to process payments between venues and artists. By using our payment features, you agree to maintain valid payment methods and honor all financial commitments made through the platform.

3.2 Platform Fees

Venues are charged a service fee on completed gig payments processed through PlugVerse. The fee varies by subscription tier: 2.5% (Starter tier), 1% (Pro tier), and 0.25% (Business tier). This fee covers platform operations, payment processing, and customer support. Additional Stripe payment processor fees may apply. See the Pricing page for current rates.

3.3 Payment Timeline

Payments to artists are processed after you mark a gig as complete. You must confirm gig completion within 24 hours of the performance ending. Failure to confirm gig completion within 48 hours of the scheduled performance end time will result in automatic gig completion and payment release.

3.4 Subscription Plans

Venues may subscribe to premium plans for additional features. Subscription terms:

• Subscriptions automatically renew unless canceled
• You may cancel at any time from your account settings
• Refunds for partial periods may be available as specified at purchase
• Feature access continues until the end of the billing period

3.5 Payment Disputes

Payment disputes should first be addressed directly with the artist. If unresolved, contact PlugVerse support. Chargebacks or payment reversals without valid cause may result in account suspension.

4. Cancellation Policy

4.1 Venue Cancellations

Canceling confirmed bookings can harm artists who have blocked their schedules. If you must cancel:

• Provide notice as early as possible (minimum 48 hours recommended)
• Communicate directly with the artist through the platform
• Pay any cancellation fees specified in the contract
• Consider paying partial compensation for late cancellations

4.2 Artist Cancellations

If an artist cancels, we will assist you in finding a replacement. You may leave an honest review reflecting the cancellation. Repeated artist cancellations affect their platform standing.

4.3 Force Majeure

Neither party is liable for cancellations due to events beyond reasonable control (weather emergencies, government orders, natural disasters). Both parties should work together to reschedule when possible.

5. Venue Responsibilities

5.1 Safe Environment

You are responsible for providing:

• A safe performance space that meets all safety codes
• Adequate security for the artist and their equipment
• Proper crowd management and capacity control
• Emergency procedures and equipment as required by law
• Safe load-in and load-out access

5.2 Technical Requirements

Unless otherwise agreed, venues should provide:

• Adequate stage or performance area
• Basic sound system if specified in the gig posting
• Sufficient electrical power for equipment
• Reasonable lighting for the performance
• Green room or private space if promised

5.3 Legal Compliance

Venues must ensure:

• All required entertainment licenses and permits are current
• Compliance with noise ordinances and local regulations
• Proper liquor licenses if alcohol is served
• Music licensing (ASCAP, BMI, SESAC) for public performances
• Compliance with ADA accessibility requirements

5.4 Professional Treatment

Venues agree to treat artists professionally:

• Respectful communication at all times
• No discrimination or harassment
• Honor all agreed-upon amenities (meals, drinks, parking)
• Timely payment as agreed
• Fair and honest reviews

6. Insurance and Liability

6.1 Required Insurance

Venues should maintain appropriate insurance coverage including:

• General liability insurance
• Liquor liability (if applicable)
• Property insurance
• Workers' compensation (for employees)

6.2 Limitation of Liability

PlugVerse is not liable for any injuries, damages, or losses occurring at your venue. You are responsible for all incidents occurring on your premises. PlugVerse does not provide insurance coverage for venues.

6.3 Indemnification

You agree to indemnify, defend, and hold harmless PlugVerse, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from: (a) events at your venue, including personal injury, property damage, noise complaints, and code violations; (b) your breach of any contract with an artist or organizer; (c) disputes with artists, organizers, or other users regarding payment, performance, or contract terms.

6.4 Contract Non-Party Disclaimer

PlugVerse is not a party to any contract between you and an artist or organizer. All disputes regarding performance, payment terms, or contract obligations are between you and the other contracting party. PlugVerse assumes no liability for the performance or breach of any contract between users.

7. Content and Recordings

7.1 Recording Rights

If you intend to record, broadcast, or photograph performances, you must:

• Obtain written consent from the artist before the performance
• Specify intended use (social media, promotional, commercial)
• Credit artists appropriately in any published content
• Comply with any restrictions the artist specifies

7.2 Your Content

Content you upload to PlugVerse (venue photos, descriptions) must be accurate and owned by you or properly licensed for use.

8. Prohibited Activities

Venues are prohibited from:

• Circumventing the platform to avoid fees on bookings made through PlugVerse
• Misrepresenting venue details, capacity, or equipment
• Posting fake or misleading gig listings
• Withholding payment from artists without valid cause
• Manipulating reviews or ratings
• Discriminating against artists based on protected characteristics
• Requiring artists to pay to play (pay-to-play schemes)
• Making last-minute changes to agreed compensation

9. Account Suspension and Termination

9.1 Grounds for Suspension

Your account may be suspended for:

• Repeated cancellations or payment issues
• Consistently negative reviews from artists
• Violations of this Agreement or Terms of Service
• Safety violations or complaints
• Fraudulent activity

9.2 Termination

You may terminate your venue account at any time. You must fulfill all confirmed bookings and outstanding payments before closing your account.

10. Bookings by Organizers

Your venue may receive booking requests from Organizers (including fraternity and sorority social chairs and other event planners) in addition to traditional venue operators. All terms in this Agreement apply equally to bookings made by Organizers. You are responsible for ensuring your venue complies with all applicable laws for such events, including those governing alcohol service and event capacity.

11. Dispute Resolution

Disputes between venues and artists should first be addressed directly between the parties. If unresolved, either party may request PlugVerse mediation. PlugVerse's involvement in any mediation is non-binding and advisory only. Either party retains the right to pursue binding arbitration under the Terms of Service.

Binding Arbitration: All disputes between you and PlugVerse (not disputes with other users) are subject to the binding arbitration provision in our Terms of Service, including the class action waiver and jury trial waiver. You have 30 days from the date you accept this Agreement to opt out of arbitration by emailing cooper@plugverse.app.
